Role: Transactional Associate Attorney

Location: Morristown, NJ

Schedule: Hybrid - 3 days in/2 days remote

Salary: $120,000 - $180,000

Our client, a growing & dynamic law firm is seeking a junior associate attorney who has the desire to do both real estate and traditional corporate transactional work. The Corporate Group provides sophisticated transactional representation and business counseling to clients ranging from start-ups to Fortune 500 companies, as well as individual entrepreneurs, investors and executives.

Responsibilities:

• Preparing, reviewing, and negotiating various contracts, including purchase agreements, leases, and service agreements.
• Performing due diligence for mergers, acquisitions, and other transactions, including reviewing financial documents, contracts, and compliance with laws.
• Participating in the closing process for transactions, which may involve coordinating with various stakeholders and preparing closing documents.
• Conducting legal research to support client matters and keep updated on changes in corporate law and regulations.
• Conducting due diligence for mergers and acquisitions, which includes reviewing financial documents, contracts, and corporate records to identify potential risks.

Requirements:

• Ideally 1-4 years' experience in corporate law, BUT will consider a litigator wanting to go into corporate.
• Admitted to the NJ Bar or willing to be admitted to the NJ Bar.
• Juris Doctor (JD) degree from an accredited law school.
• Good negotiation skills and the ability to work collaboratively with clients and colleagues.
• Ability to manage multiple tasks and maintain accuracy in document preparation and analysis.
