Job Description

Our client, a Pharmaceutical Manufacturing Company is looking to bring on an Associate General Counsel. We are seeking a candidate who will provide critical support to the Chief Legal Officer (CLO) in managing the company’s legal affairs. This role involves advising senior leadership on a wide range of corporate and securities legal issues, ensuring that legal strategies align with business goals. The position requires significant interaction with the executive team, offering legal solutions that advance business objectives while managing legal risks. We are seeking someone who will play an essential role in corporate governance, compliance initiatives, and overall legal strategy, contributing to the company’s long-term success.


Responsibilities

  • Advise on securities laws, corporate governance, and SEC filings (10-K, 10-Q, 8-K, etc.).
  • Ensure compliance with Sarbanes-Oxley, Nasdaq, SEC regulations, and other public company laws.
  • Assist in the preparation of Board materials, covering corporate governance and strategic transactions.
  • Lead support for equity and financing transactions, including securities matters in strategic deals.
  • Draft, review, and negotiate commercial contracts, advising on legal risks and business strategies.
  • Manage external counsel, ensuring budget compliance and effective legal strategy execution.


Education and Experience

  • Juris Doctor (JD) degree or equivalent required.
  • Admitted to practice law in California (or other acceptable jurisdiction).
  • Minimum of 8+ years of legal experience in pharmaceutical/biotech industry space.
  • Background in national law firm or in-house counsel at life sciences companies.
  • Demonstrated experience in securities law, corporate governance, and regulatory compliance.
  • Familiarity with complex commercial agreements and contract lifecycle management.


Requirements

  • Strong expertise in securities law, SEC filings, and NASDAQ compliance.
  • In-depth knowledge of pharmaceutical/biotech regulatory laws (e.g., Anti-Kickback, Stark Law, FDA rules).
  • Proficient in drafting complex agreements and managing commercial contracts.
  • Strong communication skills for effectively conveying complex legal concepts.
  • Proven leadership, emotional intelligence, and the ability to work cross-functionally with teams.
  • Skilled in managing multiple projects with minimal supervision and producing high-quality work.
