Job Overview: Our client, a $10B Private Equity shop is seeking a motivated and detail-oriented attorney with 1-3 years of legal asset management experience to join their legal team. The ideal candidate will support the legal and compliance functions, assisting in the management of private equity transactions, fund formation, and corporate governance matters.

Key Responsibilities:
- Assist in the preparation, review, and management of legal documents related to private equity transactions, including purchase agreements, investment agreements, and other transactional documents.
- Support the formation, maintenance, and dissolution of private equity funds, including drafting and filing necessary documents with regulatory bodies.
- Conduct legal research and analysis on issues related to private equity investments and corporate governance.
- Coordinate and manage closing processes for private equity transactions, including the organization of closing documents and the preparation of closing binders.
- Assist in the preparation of board resolutions, meeting minutes, and other corporate governance documents.
- Liaise with external counsel, auditors, and other service providers as needed.
- Maintain and organize legal files and records, ensuring all documentation is accurate and up-to-date.
- Support compliance efforts by monitoring regulatory changes and assisting in the development and implementation of internal policies and procedures.
Qualifications:
- JD from an accredited institution.
- 2-4 years of experience as an attorney, preferably in private equity, corporate law, or a related field.
- Strong understanding of private equity transactions and fund formation processes.
- Excellent organizational skills and attention to detail.
- Strong written and verbal communication skills.
- Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
- Ability to work both independently and as part of a team.
- Strong analytical and research skills.
