Position Overview:
As Legal Counsel, you will serve as a pivotal legal advisor on sophisticated distributed solar and energy storage projects from inception through operational phases. In this role, you will draft, negotiate, and oversee the execution of complex project development agreements to drive alignment with both organizational objectives and regulatory standards. You will leverage your expertise to identify, evaluate, and mitigate legal risks while coordinating with external counsel and collaborating with cross-functional teams to ensure comprehensive compliance across all project activities.
Responsibilities:
- Provide high-level legal advisement to project teams engaged in the full lifecycle of distributed solar and energy storage projects, including development, construction, and operations.
- Partner with project development and execution teams to proactively address emerging legal challenges and propose solutions that achieve strategic objectives while adhering to regulatory frameworks.
- Skillfully draft, negotiate, and finalize critical project documentation, including power purchase agreements, equipment supply and warranty agreements, EPC and interconnection agreements, and consulting services contracts.
- Oversee and manage the engagement of external legal resources to maintain cost-effectiveness and strategic alignment in legal support.
- Champion internal compliance efforts and documentation practices, emphasizing robust risk management aligned with organizational policies and goals.
- Support project financing activities, including leading due diligence efforts and crafting investor-facing legal documentation for financing and project sale transactions.
- Provide senior leadership with strategic insight into material project risks and furnish recommendations for effective risk management and resolution.
Requirements:
- Juris Doctor (JD) from an accredited school
- Minimum of 4 years of legal experience
- Experience in project development, construction, and operational aspects, with a strong preference in distributed generation or renewable energy projects.
- Licensed to practice law in at least one U.S. jurisdiction.
- Proficient in drafting and negotiating a spectrum of project-related agreements, including EPC, O&M, engineering, consulting, and confidentiality agreements.
