Vice President | Associate General Counsel

Overview

We are seeking a highly motivated attorney to join GEM’s Legal & Compliance group. This role will be based in Chicago and report to the General Counsel | Chief Compliance Officer. The ideal candidate is a detail-oriented and proactive individual with demonstrated experience in real estate transactions and real estate investments. Key Responsibilities

• Coordinate with internal working groups and outside counsel on the legal aspects of acquisitions, financing, asset management and sales

• Implement fund policy compliance and document compliance procedures

• Review non-standard Confidentiality Agreements and other contracts and agreements

• Coordinate with Investor Relations group on legal aspects of investor transfers

• Assist in marketing material compliance reviews and documentation of compliance

• Liaise with GEM’s internal tax team on planning for entity transfers and transfer tax issues

• Analyze regulatory requirements and coordinate procedures to ensure required filings are made

• Work with internal stakeholders to review and consolidate firm policies and procedures

• Standardize approach for legal records and oversee record retention policy

• Review vendor contracts and assist in vendor due diligence

• Assist in corporate insurance policy reviews and renewals


Preferred Qualifications

• 2-5 years of experience at major law firm or in-house legal department

• Demonstrated experience in real estate transactions; understanding of the private real estate and investment management business, familiarity with Investment Adviser Act Compliance a plus

• JD degree from ABA accredited law school and Illinois Bar admittance required

• Strong work ethic and willingness to roll up sleeves to get things done

• Excellent oral and written communication skills

• Team player with enthusiasm and intellectual curiosity


Compensation

It is expected that the base annual salary range for this Chicago-based position will be $240,000-$325,000. Actual salary for this position will vary based on factors, such as skill, experience, and qualification for the role. Employees will be eligible for a discretionary bonus, based on factors such as individual and company performance with potential for total, annual compensation range between $280,000 and $400,000.
