Summary: Associate General Counsel
Role Overview:
The Associate General Counsel supports the General Counsel and legal department in managing the organization's legal matters. They provide legal advice to senior management, oversee compliance, risk management, corporate governance, and handle agreements related to mergers, acquisitions, store operations, and other corporate activities.
Key Responsibilities:
- Compliance & Risk Management:
- Ensure adherence to regulatory, employment, and corporate governance laws.
- Oversee risk management in new store development and operations.
- Manage internal investigations, claims, and litigation.
- Legal Drafting & Review:
- Draft/review agreements for M&A, store development, real estate, leases, employment, and vendor contracts.
- Prepare and maintain corporate records (e.g., minutes, resolutions).
- Cross-border Coordination:
- Liaise with the group’s headquarters legal team in Japan.
- External Counsel Oversight:
- Manage hiring and supervision of outside legal counsel.
- Training & Compliance:
- Conduct training on new policies and legal compliance for executives and staff.
- Ensure compliance with trade, labeling, safety, and consumer protection regulations.
Qualifications:
Experience:
- 1–4 years in a law firm or legal-related environment.
- Multicultural experience, especially U.S. and Asia interactions.
- Familiarity with corporate governance and regulatory compliance.
Skills:
- Strong legal judgment, adaptability, and communication in multicultural contexts.
- Outstanding advocacy and people skills.
- Licensed to practice law in CA.
Education:
- Juris Doctor degree from an ABA-accredited law school.
Additional Notes:
- Travel (local, state, and international) is required.
- Physical demands include the ability to lift up to 50 lbs with assistance and sit for long periods.
