What The Role Entails
The senior transactional lawyer will be responsible for providing legal support for a wide range of transactions in addition to wider legal issues across all facets of the business. Some commercial experience would be advantageous relevant to Cloud Capital's business activities in fund management, real estate, and the financing, leasing, development and operation of hyperscale data centers. The environment is more akin to a start-up with the ability to be self-reliant.
What You Will Get to Do
Transaction Management & Delivery

  • Provide legal support and instruct external counsel on a range of transactions (including multiple transactions at any one time) including real estate acquisition and development, corporate M&A/joint ventures, and debt finance in primarily in the US and ongoing support post-acquisition.
  • Provide legal support and instruct external counsel in continuous provision of contracts and coordination for a wide range of building contracts, consultancy appointments, framework agreements and power supply agreements ensuring compliance with loan requirements
Tenants
  • Lease negotiations, SNDAs, & disputes.
Strategy and relationships
  • Provide expert and strategic legal advice to executives, senior management and staff.
Investment Vehicles
  • Negotiate terms, work with external counsel on fund documents and investor side letters
General Legal Support
  • General in-house tasks including vendor agreements, entity formation, potential disputes, NDAs, act as authorised signatory, some employment, and ad-hoc contract renewals as examples.
External Counsel
  • Management of external advisors including liaising with specialist legal, finance and tax advisers where appropriate.
Governance, Regulatory & Compliance
  • Federal & state regulation including CFIUS. Assist the Compliance team to ensure high standards of corporate governance, compliance and risk management required for a registered investment advisor.
Requirements
What You Bring to The Role
  • Current member of the State Bar Association.
  • Juris Doctor from an ABA accredited law school
  • Minimum six (6) years of professional experience gained in the corporate team of a top-tier law firm or similar environment. Commercial experience and/or in-house experience preferred but not essential.
  • Strong, up to date, technical legal knowledge in relevant areas
  • Significant experience supporting construction and development.
  • Extensive experience of transactional work and processes and requirements from a corporate real estate, real estate finance or corporate M&A/private equity background.
  • Possess excellent interpersonal and communication skills. You will need to be down-to-earth and approachable.
  • Be self-motivated with the ability to work autonomously in a fast-paced environment.
  • Have commercial acumen/ ability to assess legal/corporate risk.
  • Willingness to pitch in with any general day-to-day queries.
  • Adaptability, with the ability to manage multiple projects at the same time.
  • Ability and willingness to be available and responsive outside of traditional business hours.
  • Friendly, helpful, collegial, independent and proactive team player with an entrepreneurial spirit and great communication skills, able to work effectively under pressure.
