Job Description

A leading construction company specializing in power generation, industrial projects, and pipeline development is seeking to expand their legal team with a highly skilled and experienced Commercial Counsel. As part of the legal team, the successful candidate will provide legal support for a wide range of commercial agreements, including construction, Engineering, Procurement, and Construction (EPC) contracts, service agreements, and M&A transactions within the construction sector.

This is a full-time, on-site position based in Houston, Texas, offering the opportunity to work directly with internal stakeholders and external partners in a dynamic, fast-paced environment.


The Commercial Counsel will:

  • Draft, review, and negotiate a variety of commercial contracts, including construction agreements, EPC contracts, service agreements, and project-related documents.
  • Provide legal counsel on matters related to mergers and acquisitions (M&A) in the construction and infrastructure space.
  • Advise business leaders and project teams on legal and risk mitigation strategies in the development and execution of construction projects, particularly within power generation, industrial, and pipeline sectors.
  • Review and advise on insurance, bonding, and indemnity provisions within project agreements.
  • Support the team in structuring complex commercial deals and navigate challenges unique to the construction industry.


The Commercial Counsel must have:

  • J.D. (Juris Doctor) from an accredited law school and active bar membership in good standing.
  • 5+ years of experience as a commercial contracts attorney, ideally with a focus on construction, EPC, service contracts, and M&A transactions within the construction and infrastructure sectors.
  • In-depth knowledge of construction law, including project development, risk management, procurement, and dispute resolution.
  • Experience with M&A transactions within the construction or industrial sectors, including due diligence and contract negotiation.
