Position Summary

The Legal Counsel will be responsible for managing legal documentation, compliance, and contract review within the company’s Nebraska operations, which serves as a primary US headquarters. This role will support governance and compliance efforts, assist in drafting and negotiating contracts, and ensure adherence to legal requirements.

Key Responsibilities

2. Corporate Governance and Compliance

Develop and maintain governance frameworks to align company policies with US state and federal regulations.

Provide legal guidance on compliance related matters, ensuring all business activities adhere to state and federal laws, including state registration and related filings.

Collaborate with global governance teams to standardize policies and processes.

3. Documentation and Data Management

Assist in the preparation, review, and organization of governance related legal documents.

Ensure proper documentation processes for audits and investor reporting, particularly for IPO preparation and post-IPO to meet the listing requirements, including quarterly and annual reports and any pertinent filings with the SEC as warranted.

Maintain an organized system for legal document archiving and retrieval.

1. Contract and Legal Affairs

Review and manage client and supplier contracts, transportation agreements, and other legal documents to minimize risks and ensure compliance.

Assist in negotiating and drafting key contracts, escalating high-risk issues to legal counsel when necessary.

Coordinate with external legal resources to address complex legal matters efficiently.

4. Regulatory and Risk Management

Monitor and assess regulatory changes and rules promulgation, including being responsible for regulatory issues tracking, that may impact the company’s US operations in Nebraska and other jurisdiction where the company is holding itself for business. Provide recommendations for policy updates and risk mitigation strategies.

Ensure all contracts and agreements are compliant with Nebraska state laws, other state laws as applicable, and federal regulations.

5. Cross Departmental Support

Serve as a liaison between the Nebraska operations and the global legal and governance teams.

Support local management with legal and compliance matters, including training and guidance for US based staff.

In addition, support Senior Management and the company in the implementation of any other projects or assignments, as the needs arise.

Qualifications

1. Educational Background: Bachelor degree, J.D. degree from ABA accredited law school, and admission to the Nebraska State Bar.

2. Experience:

Minimum 3 years of experience as in-house legal counsel or associate in a law firm, with a focus on contract law, corporate governance, SEC filings and litigation or compliance.

Experience supporting IPO preparation or working within a corporate legal environment, with additional focus on intellectual property or employment laws, is a plus.

3. Skills:

Strong understanding of Nebraska state and federal laws.

Excellent negotiation and contract drafting skills.

Proficiency in managing legal documentation and working with governance systems.

4. Attributes:

Detail oriented with strong organization al and communication skills.

Ability to work collaboratively with global teams across multiple time zones.
