Responsibilities:

• Lead and manage a diverse range of corporate transactions, including cross-border deals, leveraged buyouts, and restructuring activities.
• Provide practical insights to streamline due diligence and create competitive, commercially viable deal structures.
• Anticipate and address regulatory, tax, and disclosure challenges in transactions such as securities offerings, spinoffs, and going-private deals.
• Offer strategic counsel to clients on corporate governance, mitigating government scrutiny, and adhering to SEC rules and regulations.
• Cultivate relationships across a global network to support client growth in sectors such as aviation, healthcare, technology, media, and sports and entertainment.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school and admission to the California Bar.
• Extensive experience in corporate law, with a focus on mergers and acquisitions, leveraged buyouts, and securities offerings.
• Proven track record of advising clients across diverse industries, including healthcare, technology, and pharmaceuticals.
• Strong understanding of SEC rules, disclosure requirements, and regulatory compliance.
