Job Summary
We are seeking a skilled and dedicated Corporate Lawyer to join our legal team. The ideal candidate will possess a strong background in corporate law, with experience in corporate matters such as:
Asset and Share Sale/Purchase transactions;
Commercial financing relating to business acquisitions and refinances;
Corporations, including incorporations, minute books, general corporate maintenance;
Limited Partnerships
Drafting Sale/Purchase Agreements, Unanimous Shareholders Agreements, Limited Partnership Agreements, bylaws, resolutions and other corporate documents;
Drafting and negotiating commercial leases;
Corporate reorganizations including s.85/86 rollovers and amalgamations;
The ideal candidate will be able to complete the types of transactions listed above for our clients, and generally oversee the Firm’s corporate paralegals in ongoing corporate maintenance for our clients (annual returns, resolutions, etc.). In addition, we are very focused on maintaining a positive culture, so we are seeking someone who is friendly, collaborative and can work well in a team-based environment.
Qualifications
A member in good standing of the Law Society of Alberta; eligible to practice as a lawyer in Alberta.
2+ years experience as a corporate lawyer, and particularly with the items listed above.
Strong skills in legal drafting, negotiation, research, and writing.
Excellent analytical abilities with attention to detail.
Strong interpersonal skills with the ability to communicate complex legal concepts clearly to non-legal stakeholders.
