Key Responsibilities
Company Formation & Corporate Management
- Oversee company formations, manage capitalization tables, and prepare all related corporate documents.
- Maintain corporate records, including stock ledgers, option plans, and transaction histories.
- Assist clients with due diligence requests using advanced technology platforms.
Transaction & Compliance Management
- Coordinate and manage all aspects of financings and M&A transactions, including preparing closing checklists and overseeing closing procedures.
- Interface with filing services to ensure accurate and timely corporate filings.
- Draft and organize ancillary legal documents, signature pages, and executed agreements.
- Apply expertise in Delaware corporate law and securities regulations to transactional matters.
Corporate M&A & UCC Matters
- Conduct lien searches, prepare summaries, and draft UCC financing statements.
- Order and organize corporate organizational documents, such as charters and good standing certificates, using document management systems (e.g., NetDocs).
- Draft and distribute corporate resolutions and certificates.
- Manage original securities, update capitalization tables, and maintain records of collateral resolutions.
- Prepare and organize signature packets for execution.
- Review closing checklists, ensuring all necessary deliverables are accounted for and met.
Post-Closing Duties
- Ensure all executed documents are properly stored in document management systems (e.g., NetDocs).
- Compile and distribute closing sets, and manage the distribution of original documents to relevant parties.
