Corporate Paralegal
Overview:
We are seeking a highly skilled and detail-oriented Corporate Paralegal to provide comprehensive legal and transactional support to attorneys across multiple office locations. This role will interact with both internal teams and external clients, ensuring seamless corporate compliance, documentation, and due diligence.
This non-exempt, full-time position reports to the Office Administrator and assigned attorneys, There are no direct reports.

Key Responsibilities:
- Prepare and manage corporate entity documentation, including formations, qualifications, amendments, dissolutions, withdrawals, and liquidations .
- Draft and maintain minutes and consents for shareholder and board meetings.
- Assist with legal transactions, including mergers, conversions, reorganizations, share issuances, and securities filings .
- Prepare and file applications and renewals for licenses, assumed names, reinstatements, and annual reports .
- Conduct public record searches and due diligence to support corporate transactions.
- Coordinate signatures and closing deliverables, ensuring completion of post-closing tasks .
- Manage entity compliance with the Corporate Transparency Act and prepare Beneficial Ownership Information Reports for FinCEN.
- Submit apostille requests and support corporate acquisitions, financings, and other transactions.
- Maintain entity management programs and extranet sites for document organization.
Qualifications & Skills:
- 5+ years of paralegal experience in a law firm or corporate legal department. Paralegal certificate required; bachelor’s degree preferred .
- Strong background in corporate law , including entity formation, corporate governance, and securities filings .
- Experience filing documents with Secretaries of State (UCCs, articles of incorporation, amendments, qualifications, and withdrawals).
- Knowledge of IRS filings (SS-4s, S-Elections, 1023s, and 8832s).
- Familiarity with FinCEN ID registration and Corporate Transparency Act compliance .
- Current NC Notary Public commission preferred .
- Proficiency in Microsoft Office Suite, Adobe, and entity management programs .
- Exceptional organizational skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment .
- Strong problem-solving, decision-making, and critical thinking skills.
- Outstanding interpersonal, written, and verbal communication skills .
